These Terms govern access to Black Ridge Distributor Hub and the third-party distributor connections you choose to use with it.
You are responsible for your account, credentials, activity and anyone you permit to use your account. Distributor Hub is intended for lawful business use by authorized users. You may not bypass access controls, share paid access in a manner not permitted by your plan, interfere with the service, scrape or reverse engineer protected portions of the service, or use the service to violate law or third-party rights.
Distributor Hub can help organize information from distributor and other third-party sources. Your relationship with each distributor remains your responsibility. You are solely responsible for maintaining any required dealer account, license, permission or authorization and for complying with each distributor's terms of service, pricing policies, ordering rules, MAP policies, account restrictions and other requirements.
Black Ridge does not authorize you to breach a distributor's agreement. If your use of Distributor Hub or a connected source violates a distributor's rules, you remain responsible for resulting account restrictions, suspensions, claims, fees, losses or other consequences.
You may only connect credentials or accounts that you are authorized to use. You may not connect another person's or company's account without permission. You are responsible for keeping your credentials secure and promptly updating them if they are compromised.
Catalog information, pricing, stock, product details and rankings can change quickly and may originate from third parties. Distributor Hub is a purchasing and research tool; it is not a guarantee that any displayed information is complete, current or error-free. You should confirm material ordering details with the applicable distributor before placing an order.
Paid access is subject to the plan selected at checkout. Fees are charged according to the billing interval shown at purchase. Access may be suspended or terminated for nonpayment, abuse, fraud, security concerns or material violation of these Terms. Unless otherwise required by law or stated at checkout, fees already paid are not automatically refundable merely because a connected third-party source changes its service.
Unless expressly stated otherwise, Black Ridge is not the distributor, manufacturer or operator of the third-party services connected to Distributor Hub and does not control their websites, systems, policies, inventory or business decisions. Distributor names and trademarks belong to their respective owners.
To the fullest extent permitted by law, Black Ridge is not responsible for losses caused by inaccurate third-party information, third-party downtime, changes to distributor accounts or policies, orders placed with third parties, or a user's violation of law or third-party terms. You remain responsible for your purchasing decisions and use of connected dealer accounts.
To the extent permitted by law, you agree to defend, indemnify and hold Black Ridge and its affiliates harmless from claims, damages, liabilities, costs and expenses arising from your misuse of Distributor Hub, your breach of these Terms, your violation of law, or your violation of a distributor's or other third party's rights or terms.
Features and integrations may change over time. We may update these Terms as the service evolves. Material changes may require renewed acceptance. You may stop using the service at any time, and Black Ridge may restrict access when reasonably necessary to protect the service, users, third parties or Black Ridge.
